1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the Playlist Pilot website, application, and related services ("Services") operated by Alexander Sbragia ("we," "us," "our"). By creating an account, subscribing to a plan, or using the Services, you agree to be bound by these Terms, our Privacy Policy, and our Refund and Cancellation Policy. If you do not agree, you must not use the Services.

2. Eligibility

You must be at least thirteen (13) years old to use Playlist Pilot. By using the Services, you represent and warrant that you meet this requirement. The Services are not intended for children under 13, and we do not knowingly collect their personal information.

3. Account Registration and Security

To access certain features, you must register for an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use of your account.

4. Subscription Plans, Billing, and Auto-Renewal

We offer monthly and annual subscription plans, including Starter and Professional (Pro) tiers, with features and token allocations as described on our website. Subscriptions automatically renew at the end of each billing cycle unless canceled in accordance with Section 12. Payments are processed by Paddle, our merchant of record, and are subject to Paddle's terms.

5. Token Allocation and Use

Tokens are allocated monthly or annually depending on your plan and are used to access specific features. Token costs for features are listed in the Service and may change with notice. Tokens have no cash value, are non-transferable, and expire at the end of each billing cycle. Unused tokens do not roll over.

6. Prohibited Uses

You agree not to:

  • Engage in fraudulent activity, including false account creation or payment disputes without cause.
  • Circumvent or attempt to circumvent token limits, subscription tiers, or access controls.
  • Reverse engineer, decompile, or disassemble any part of the Services.
  • Scrape, copy, or store any playlist, curator, or pitch data outside permitted use.
  • Use the Services for any unlawful purpose or in violation of any applicable law.

We reserve the right to remove user-generated content and terminate accounts that violate these Terms.

7. Intellectual Property

All intellectual property rights in the Services, including software, design, logos, and content, are owned by or licensed to us. You are granted a limited, non-exclusive, non-transferable license to use the Services for their intended purpose, subject to these Terms. You may not copy, modify, distribute, sell, or lease any part of the Services without our written consent.

8. No Guarantee of Results

Important: Playlist Pilot provides tools to assist in playlist pitching but does not guarantee playlist placements, curator responses, increased streams, sales, exposure, or any specific business outcome. You acknowledge that success depends on factors outside our control.

9. Refund Policy

Our Refund and Cancellation Policy is incorporated into these Terms by reference. By purchasing a subscription, you acknowledge and agree to that policy.

10. Termination

We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or posed a risk to the integrity of the Services. Upon termination, your license to use the Services will immediately cease, and any remaining tokens will be forfeited.

11. Limitation of Liability

To the fullest extent permitted by law, we and our affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Services, even if advised of the possibility of such damages. Our total liability will not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Illinois, United States, without regard to its conflict of laws principles. You agree that any disputes will be resolved exclusively in the state or federal courts located in Cook County, Illinois, unless we agree otherwise in writing.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice prior to taking effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
